PETROPERÚ clarifies information related to controversies with the Seamarch Consortium

GDCM-5085-2020

Mr.

Martín Valdivia Rodríguez

Director of the La Razón newspaper

Jr. José María Egúsquiza 915.

Pueblo Libre.-

Of my consideration:

I am pleased to greet you, and at the same time, request the rectification of the notes entitled: "Complaint against the General Manager of Petroperu for the commission of alleged embezzlement of USD 426 thousand" and "Characters of the Petroaudios", published on page 4, of the edition of 07/29/2020 of the La Razón newspaper, which contain misrepresented information and that it is appropriate to rectify for the safeguarding of the good image and reputation of the company and its legal representatives.

In this regard, we inform you that the disputes to which you make mention refer to a contract signed in 2008 and three arbitration proceedings in relation to it initiated by PETROPERU, and whose results were unfavorable to our company.

It is important to specify that the cancellation of invoices 001-000020 and 001-000022 of the Seamarch Consortium, for US $. 426,659.20, is part of an extra-procedural agreement signed in January 2020 with said company, and has been carried out in compliance with one of the aforementioned awards, as res judicata.

This agreement has been beneficial for PETROPERU since the interests that could be generated in ten years have not been considered, while the Seamarch Consortium has waived its right to collect interest and sue for the respective damages. In addition, in said agreement, it was possible to compensate the amount of the guarantee letter improperly executed by PETROPERU, without considering interest generated since 2013, and with the resignation of the other party to request damages, which could have meant for our company a much higher outlay, considering that the expectations of the Consortium were around 5 million dollars.

Likewise, the actions taken by our company were subjected to a rigorous evaluation and approval by the Board of Directors and not only by the General Management, always acting within the framework of legal considerations and current administrative procedures, as well as respect for the principles of transparency. and compliance with the rule of law.

We regret, on the other hand, the unprofessional and unbalanced attitude of the La Razón newspaper of not having contacted and consulted us about the facts prior to publication, an elementary principle of journalism that would have allowed them to contrast the data in a timely manner.

In this sense, we would appreciate taking into account the information provided to make the corresponding clarification, in order to correctly inform the public about the procedures that PETROPERU has followed in this particular case, which have been carried out within the current legal framework. .

Without any other particular, and pending the corresponding rectification in terms, means and proportions similar to those used to disseminate the aforementioned allegations, and without prejudice to reserving the right to initiate legal, civil or criminal actions, before the competent jurisdictional instances.

Best regards,

Carla Santa Cruz S.
